Terms of Service

You must be at least 18 years old to use the Service. The Service is intended for individual sellers and small business use.

You are responsible for all activity that occurs under your account. You agree to:

• Provide accurate, complete, and up-to-date information.
• Keep your login credentials confidential.
• Notify us promptly of any unauthorized access or security breach.

We may suspend access if we reasonably believe your account has been compromised or is being misused.

The Service may allow you to connect to and interact with third-party platforms and marketplaces. Sell The Flip is not affiliated with, endorsed by, or sponsored by any marketplace unless explicitly stated.

You acknowledge and agree that:

• Your relationship with each marketplace is governed solely by your agreement with that marketplace.
• Marketplaces may change their systems and policies at any time, which may affect the Service.
• Sell The Flip is not liable for actions taken by marketplaces, including account limitations or bans.
• You are responsible for reviewing your listings before and after publishing.

You agree not to:

• Use the Service for unlawful, fraudulent, or deceptive activity.
• Violate any third-party marketplace terms or policies using the Service.
• Reverse engineer or attempt to derive the source code of the Service.
• Interfere with or disrupt the Service or its infrastructure.
• Use the Service to build a competing product or service.

You retain all ownership rights to the content you upload to the Service, including listing titles, descriptions, photos, and other materials ("User Content"). By submitting User Content, you grant Sell The Flip a worldwide, non-exclusive, royalty-free license to store, display, and transmit your User Content solely as necessary to provide and operate the Service on your behalf.

You represent and warrant that:

• You own or have the necessary rights to all User Content you submit.
• Your User Content does not infringe the intellectual property, privacy, or other rights of any third party.
• Your User Content does not violate any applicable law or regulation.
• Items listed through the Service are authentic and accurately described.

We reserve the right to remove User Content that we reasonably believe violates these Terms or applicable law.

The Service and all related content, trademarks, and designs are owned by or licensed to Sell The Flip and are protected by applicable intellectual property laws. You may not copy, reproduce, or exploit any part of the Service without our prior written permission.

The Service includes AI-assisted features such as pricing suggestions, listing optimization, and automated content improvements. These features are provided as a convenience tool only.

• AI-generated suggestions are not guaranteed to be accurate, complete, or appropriate for your specific situation.
• You are solely responsible for reviewing and approving any AI-generated content before publishing a listing.
• Sell The Flip is not liable for any losses or marketplace policy violations arising from reliance on AI-generated output.

Sell The Flip respects the intellectual property rights of others and expects users of the Service to do the same. In accordance with the Digital Millennium Copyright Act (DMCA), 17 U.S.C. § 512, we will respond to claims of copyright infringement committed using the Service.

If you believe that material available through the Service infringes your copyright, you may submit a written notice of infringement to our designated DMCA agent at:

Your notice must include: (1) identification of the copyrighted work claimed to be infringed; (2) identification of the infringing material and its location on the Service; (3) your contact information; (4) a statement of good faith belief that the use is not authorized; and (5) a statement under penalty of perjury that the information is accurate and you are the copyright owner or authorized to act on their behalf.

We will remove infringing content upon receipt of a valid notice. Repeat infringers will have their accounts terminated.

The Service is provided on an "as is" and "as available" basis without warranties of any kind. We do not warrant that the Service will be uninterrupted, error-free, or free of harmful components.

To the maximum extent permitted by law, Sell The Flip shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service, including but not limited to loss of profits, lost sales, marketplace account suspensions or bans, data loss, or business interruption. Our total liability for any claim shall not exceed the amounts paid by you in the twelve months preceding the event giving rise to the claim.

You agree to defend, indemnify, and hold harmless Sell The Flip and its officers, directors, employees, and agents from and against any and all claims, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to:

• Your use of the Service or violation of these Terms.
• Any User Content you submit, post, or transmit through the Service.
• Your violation of any applicable law, regulation, or third-party marketplace terms.
• Any claim that your User Content infringes the intellectual property or other rights of a third party.
• Any sale of counterfeit, prohibited, or inaccurately described items through the Service.

Please read this section carefully — it affects your legal rights.

Any dispute, claim, or controversy arising out of or relating to these Terms or your use of the Service ("Dispute") shall be resolved exclusively through binding individual arbitration administered by JAMS under its Streamlined Arbitration Rules, except that either party may seek injunctive or other equitable relief in a court of competent jurisdiction to prevent irreparable harm.

Class Action Waiver: You and Sell The Flip agree that each may bring claims against the other only in your or its individual capacity and not as a plaintiff or class member in any purported class or representative action. No arbitration or proceeding may be combined with another without the prior written consent of all parties.

If any part of this arbitration provision is found unenforceable, only that part shall be severed and the remainder of this section shall remain in full force.

We may terminate or suspend your access immediately, without prior notice, for any reason including breach of these Terms. Upon termination, your right to use the Service immediately ceases.

Certain features of the Service require a paid subscription. By subscribing, you agree to pay the applicable fees for your chosen plan. Subscription payments are processed by Stripe and renew automatically unless cancelled before the end of the current billing period.

You may cancel your subscription at any time from Settings → Subscription. Cancellation takes effect at the end of your current billing period. See our Refund Policy for details on refund eligibility.

These Terms shall be governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law provisions. To the extent any dispute is not subject to arbitration under these Terms, you consent to the exclusive jurisdiction and venue of the state or federal courts located in Los Angeles County, California.

We may modify these Terms at our sole discretion. By continuing to use the Service after changes become effective, you agree to be bound by the revised Terms.
